1. Agreement to Terms
These Terms of Service ("Terms") govern your use of OmniForce, Inc.'s ("OmniForce") websites, software, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and any other guidelines or policies referenced herein.
2. Use of the Service
You agree to use the Service in compliance with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account.
3. Content
You retain ownership of any content you upload to the Service, but grant OmniForce a license to use it to operate and improve the Service. You must have the rights to all content you upload and may not upload illegal or infringing content.
4. Software License
We grant you a non-exclusive, non-transferable, revocable license to use our software solely in connection with the Service. OmniForce retains all rights to the software.
5. Third-Party Services
If you connect third-party services to OmniForce, you consent to your data being shared as needed to enable those integrations. OmniForce is not responsible for the privacy practices of third-party providers.
6. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or use the Service in a harmful manner.
7. Intellectual Property
The Service, including all intellectual property rights therein, is the exclusive property of OmniForce. Any feedback you provide may be used by OmniForce without obligation to you.
8. Modifications
OmniForce may update the Service or these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
9. Limitation of Liability
To the maximum extent permitted by law, OmniForce shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
10. Indemnification
You agree to indemnify and hold harmless OmniForce and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action must be brought in the courts located in Delaware.

13. Third Party ACH Payment Services Partner
In order to use the payment functionality of our application, you must open a "Dwolla Account" provided by Dwolla, Inc. and you must accept the Dwolla Terms of Service and Privacy Policy. Any funds held in or transferred through your Dwolla Account are held or transferred by Dwolla's financial institution partners. You must be at least 18 years old to create a Dwolla Account. You authorize us to collect and share with Dwolla your personal information including full name, date of birth, social security number, physical address, email address and financial information, and you are responsible for the accuracy and completeness of that data. You understand that you will access and manage your Dwolla Account through our application, and Dwolla account notifications will be sent by us, not Dwolla.
